Terms of Service

1. Acceptance of Terms

By accessing or using TMI — The Moment Itself ("TMI," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.

2. Description of Service

TMI is a private activation network that connects brands and agencies with unique spaces, assets, and platforms for creative activations. We act as a matchmaker and broker, facilitating introductions between space owners and brands. TMI does not own, operate, or control any of the spaces listed on our platform.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into agreements on behalf of your organization to use TMI. By submitting a space listing, you represent that you have the authority to offer the space or asset for brand activations, or that you are authorized to act on behalf of the owner.

4. Space Listings

Space owners who submit listings agree that TMI may anonymize and display their listing information to prospective brands. TMI reserves the right to edit, modify, or decline any listing at our discretion. Listings are free to submit. TMI does not guarantee that any listing will result in a brand match or activation.

5. Transaction Fee

TMI charges a 5% transaction fee on closed deals facilitated through our platform. This fee is payable by the space owner upon successful completion of an activation deal. There are no upfront costs or listing fees. The transaction fee applies only when a deal closes — if no deal is made, no fee is owed.

6. Introductions and Deals

TMI facilitates introductions between space owners and brands. Once an introduction is made, the parties are responsible for negotiating and executing their own agreements. TMI is not a party to any activation agreement between a space owner and a brand, and is not liable for the performance or non-performance of either party.

7. Confidentiality

All listing information, contact details, and deal terms shared through TMI are confidential. Users agree not to disclose confidential information about other parties to third parties without prior written consent. TMI will not share space owner identity or contact information with brands without the space owner's explicit approval.

8. Intellectual Property

All content on the TMI platform, including text, graphics, logos, and software, is the property of TMI or its licensors and is protected by copyright and other intellectual property laws. Users retain ownership of content they submit but grant TMI a license to use, display, and modify submitted content for the purpose of operating the platform.

9. Limitation of Liability

TMI is provided "as is" without warranties of any kind. To the maximum extent permitted by law, TMI shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our platform. TMI's total liability shall not exceed the amount of fees paid by you to TMI in the twelve months preceding the claim.

10. Termination

We may terminate or suspend your access to TMI at any time, with or without cause, with or without notice. You may request removal of your listing or account at any time by contacting us.

11. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by posting updated terms on this page. Your continued use of TMI after changes are posted constitutes acceptance of the updated terms.
